Preliminary initiating-coverage underwrite · NASDAQ: WAY

Cheap cash flow.
Expensive proof.

Waystar combines attractive healthcare transaction-software economics with a leveraged, acquisition-shaped growth story. The valuation is interesting; the evidence needed to underwrite Iodine's returns and normalized organic growth is not yet complete.

Posture: Watchlist — wait for proof Price: $22.43 Market close: July 10, 2026 Financials through Q1 2026 Evidence confidence: Medium-high
● PM answer

Do not confuse a low multiple with a completed underwrite.

At $22.43, WAY trades at roughly 10.8× 2026E adjusted EBITDA, 13.7× adjusted EPS, and a 7.7% consensus FCF yield on the diluted share count implied by guidance. That is appealing for a platform growing near 10% organically with 43% adjusted EBITDA margins. But the $1.26bn Iodine acquisition added debt, 16.6m shares, and nearly $1.0bn of goodwill without standalone revenue, retention, synergy, or cash-return disclosure. The correct long-only posture is a watchlist initiation, not a positive rating: demand operating proof at the next print and August Investor Day, then consider a 50–75bp starter if organic provider growth holds at ≥10%, NRR stays around 110%, Iodine economics become auditable, and leverage is visibly declining. Debate 01

Is the core engine really low double digit?

FactQ1 organic growth was approximately 11%, including about 14% organic subscription growth; volume revenue grew 7.3%. JudgmentThe durability test is the 2026–27 renewal of clients won after the Change Healthcare cyberattack. S2 S4

Debate 02

Does Iodine earn its cost of capital?

FactWAY paid $1.26bn, financed with cash, debt, and 16.64m shares. JudgmentThe strategic fit is plausible, but management has not disclosed enough standalone financials to prove after-financing returns. S1 S15

Debate 03

Is AI a moat or a feature set?

Company claimAbout 40% of Q1 bookings involved AI-powered capabilities. JudgmentBookings labels are not differentiation; renewal lift, verified labor removal, pricing, and cash conversion are.

Capital return & funding gate

Iodine is the gate; the buyback is a capital-allocation test.

Management authorized a discretionary $200m repurchase in May. At current prices that could retire roughly 4.5% of forward diluted shares, but meaningful execution would compete with deleveraging. Until Iodine's return bridge is visible, debt reduction should have priority.

Funding verdict

No disclosed Iodine FCF, ROIC, retention, or realized synergy schedule.

Acquisition caseAt announcement, management described Iodine as approximately 99% subscription, with 75% gross margin and 40% adjusted EBITDA margin, targeted at least $15m of run-rate cost synergies, and characterized the price as a high-teens multiple of synergized 2025E EBITDA. It expected neutral non-GAAP EPS impact in 2026 and modest accretion in 2027. Those forward claims do not replace a disclosed after-financing return bridge. S15

Business quality

Software economics riding healthcare transaction flows

WAY is better understood as a provider-facing healthcare transaction network and workflow-software vendor than as a labor-heavy RCM outsourcer. Its platform covers eligibility, prior authorization, claims, denials, clinical documentation, and patient payments across more than 500 integrations. S1

Why the model is attractive

  • FactMore than 99% of revenue is subscription or predictable volume-based; roughly 98% of 2025 revenue came from clients under contract at the start of the year.
  • FactTypical initial contracts run two to three years, generally auto-renew annually, and often include price escalators.
  • FactProvider solutions are approximately 75% of revenue and carry only about 6–7% direct third-party cost.
  • FactWAY serves hospitals and health systems as well as ambulatory and alternate-care providers, limiting single-end-market dependence.

What lowers the quality score

  • FactPatient payments are about 25% of revenue and face roughly 60% direct third-party cost, utilization, coverage, card-fee, and print-to-digital exposure.
  • FactClients can terminate with limited notice after the initial term; backlog, ARR, bookings dollars, CAC/payback, and gross retention are not disclosed.
  • FactGoodwill plus intangibles exceed total equity; tangible equity is approximately negative $1.34bn.
  • JudgmentAdjusted EBITDA excludes meaningful D&A, stock compensation, and acquisition costs, so cash conversion and per-share dilution matter more than headline margins.
Revenue mix is shifting toward subscription

Q1 2026$172.2m / 54.9%$139.5m / 44.4%$2.2m / 0.7%

FactSubscription grew 37.7% reported and approximately 14% organically in Q1. Volume grew 7.3%. Iodine is predominantly subscription revenue, so the mix shift is not purely organic.

Competitive frame

Competitive setPrimary strengthImplication for WAY
Optum / Change, AvailityPayer-provider connectivity and clearinghouse scale. Most direct network threat; WAY must sustain service, resilience, and workflow differentiation after Change-related wins renew.
Epic, Oracle Health, athenahealthEHR-native workflow, installed base, and bundling.Clearest disintermediation risk as authorization, billing, and AI features move inside core systems.
Experian HealthPatient access, identity, credit data, claims, and collections.Credible modular competitor, particularly in patient access and payments.
R1, EnsembleDeep labor/process ownership under long operating contracts.Often coopetitors, not clean comps; WAY has better software economics, but less control over client outcomes and wallet.
Thesis & variant perception

The edge must come from proof, not from the word “AI”

The investable variant is that WAY's provider-software economics and durable Change-related share gains are being misread as low-quality RCM or acquisition growth. The bear response is equally credible: normalization, EHR bundling, and a high-priced Iodine deal can absorb the apparent valuation discount.

Variant candidate

Software quality is underappreciated

Provider solutions have high incremental economics, broad client diversification, and cross-sell opportunity across a fragmented provider base.

Prove it: ≥10% organic provider growth, stable 43% adjusted EBITDA margin, and strong levered FCF after SBC.

Variant candidate

Change wins may be durable share transfer

More than 30,000 providers adopted WAY after the 2024 competitor outage, generally on initial two-to-three-year contracts.

Prove it: Stable NRR and gross retention through the 2026–27 renewal window, excluding price and acquired revenue.

Variant candidate

Iodine adds clinical-financial depth

Clinical documentation and pre-bill intelligence can widen the moat and attach more revenue to hospital workflows.

Prove it: Standalone Iodine growth, retention, cross-sell, realized cost synergy, and an ROIC/FCF bridge.

Secular support

FactCMS projects U.S. national health expenditures to grow 5.4% annually in 2025–34, faster than GDP. Claims, reimbursement complexity, and patient-payment flows remain structurally large.

FactThe CAQH Index estimates a roughly $20bn remaining annual savings opportunity from transaction automation. Prior-authorization API rules create implementation demand.

The double edge

JudgmentStandardization can reduce manual friction but also commoditize basic connectivity and lower switching costs. Coverage losses can suppress claims/payment volume while increasing demand for eligibility and discovery tools. Security scale raises entry barriers and makes a breach more damaging.

Earnings & model

Consensus expects cash growth without much margin expansion

The forecast is plausible, but its composition matters more than the headline. Provider solutions and Iodine subscription growth need to offset slower patient payments, while share dilution and interest limit the benefit to owners.

Q1 cash reality

FactCFO was $84.9m and capitalized software/capex was $15.3m. Conventional after-interest FCF was therefore about $69.6m.

The company's $90.3m “unlevered FCF” adds back $20.7m of cash interest; it is not equity cash flow.

The stock prices skepticism; the Street still prices success

At the July 10 close, WAY offers an attractive prospective cash yield. Yet the mean sell-side price target remains $33.57, so “cheap versus consensus” is not a variant. The edge requires better evidence on organic durability and Iodine returns than the market currently has.

WAY trades at roughly 21% / 18% / 24% discounts to the peer medians on EV/sales, EV/adjusted EBITDA, and adjusted P/E despite faster median growth. 2026–27

Change cohort renewal window

Clients won after the 2024 cyberattack signed initial two-to-three-year terms. Renewal economics will determine whether the share shift is durable.

Upgrade triggers: move from watchlist to starter

  • Organic provider-solution growth at or above 10%, with the patient-payment drag quantified.
  • NRR around 110% or better and a clear bridge for Change-related renewals, price, volume, and cross-sell.
  • Iodine revenue, EBITDA, retention, realized synergy, and cross-sell disclosure sufficient to estimate ROIC.
  • Net leverage trending below 2.5× before material use of the $200m repurchase authorization.
  • AI bookings convert into paid revenue, renewal uplift, or validated labor/denial improvement under stable definitions.
Risks & falsifiers

Observable ways the thesis can fail

Retention breaks

NRR falls below the historical 108–110% zone, or Change-acquired clients churn/downsize at renewal.

Iodine disappoints

Weak cross-sell, delayed synergies, client losses, impairment, or dilution beyond 2026 proves the deal did not cover its financing cost.

Bundling wins

Epic, Oracle, Optum, or Availity captures major consolidations by bundling connectivity and AI inside core workflows.

Patient payments weaken

Coverage, utilization, ability-to-pay, card fees, or print-to-digital changes reduce volume and revenue faster than cost savings offset.

AI remains marketing

AI-labelled bookings fail to convert into paid revenue, retention, margin, or independently measurable labor reduction.

Security / compliance event

A breach, PHI-permission failure, inaccurate model, or false-claims issue damages provider trust and raises regulatory cost.

Important conflicts and conventions

  • NRR is 110.5% in the 10-Q and rounded to 111% in earnings materials; this report uses the exact filing value.
  • Iodine is included in the >$100k customer count but will not enter NRR until its ninth quarter; the KPIs have different acquisition treatment.
  • Fiscal.ai's 2025 EPS of $1.42 is adjusted/normalized, not GAAP EPS. Forecast P/E therefore uses adjusted EPS.
  • The enterprise-value bridge uses the July 10 close, ~199.4m guidance-implied diluted shares, $1.319bn net debt, and $16.5m leases. Vendor EV figures differ because share count and price timestamps differ.
  • No company-confirmed Q2 earnings date was found at the cut-off; the late-July date is explicitly soft.

Method limits

  • The DCF uses provider consensus FCF because detailed FCFE components are not all disclosed. It assumes that figure represents after-interest equity cash generation.
  • No clean public comparable exists. PHR, DOCS, HCAT and PRVA differ materially in growth, balance sheet, margins, and business mix, so comps are a context check rather than the primary valuation.
  • AI outcome metrics, win rates, platform transactions, and gross claims are company claims without independent audit.
  • Index membership was not independently verified and is not used in the positioning conclusion.
