Super Micro Computer, Inc. (SMCI)
Report date: June 16, 2026. Data cut-off: June 16, 2026. Market data as of: June 16, 2026 public quote snapshot; regular-session close from June 15, 2026. All figures are in United States dollars. Currency conversion note: SMCI reports in USD, so no exchange rate conversion was required.
Executive Answer
SMCI is a direct AI infrastructure growth vehicle, but it is not a clean growth investment yet. The attractive-looking valuation depends on three unstable inputs: normalized gross margin, working-capital intensity, and the pro forma share count after the June 2026 financing.
What matters now: prove that Data Center Building Block Solutions and software/service attach can lift gross margin without slowing revenue, while converting the order wave into cash rather than more dilution.
What Would Change The View
A cleaner setup needs two quarters of positive free cash flow or a clear path there, stable high-single-digit or better gross margin on large deployments, less customer concentration, and a fully reconciled pro forma share count.
Investment Verdict
Fundamentals Snapshot
| Metric | Current read | Why it matters |
|---|---|---|
| Research posture | Needs model work / Watchlist | Not a clean ownership setup until dilution, cash conversion, and gross margin durability are modeled. |
| Evidence confidence | Medium-high | Current filings and company data are strong; forward orders, customer timing, and pro forma share count remain less certain. |
| Share price | $30.85 | Regular-session close from public quote pages; market-data as-of June 16, 2026 public quote snapshot; regular-session close from June 15, 2026 S7. |

| Cash conversion | CFO -$6.6B; FCF -$6.7B | Working capital is the core underwriting problem. |
| Balance sheet | Cash $1.3B; debt $9.2B; net debt $7.8B | Post-quarter financing improves liquidity but also dilutes common owners. |
| Valuation context | 0.5x to 0.5x NTM EV/sales; 9.7x FY2027E earnings | Low multiples are not enough if growth keeps requiring external capital. |
Growth-Investment Scorecard
| Factor | Score | Evidence read |
|---|---|---|
| Revenue growth | 9/10 | Q3 FY2026 revenue grew +122.7% year over year, and consensus expects FY2026 revenue of $39.7B. |
| Earnings growth | 7/10 | Non-GAAP diluted earnings per share grew +171.0% in Q3, but Fiscal.ai consensus still implies a lower earnings growth rate than revenue growth after FY2026. |
| Durability | 5/10 | Demand is tied to AI infrastructure build-outs, but timing depends on customer site readiness, component availability, and a small number of large customers. |
| Margin quality | 4/10 | Q3 gross margin recovered to +9.9%, yet Q4 guidance implies a step down to roughly 8.3% at the midpoint. |
| Cash generation | 1/10 | Q3 operating cash flow was -$6.6B and free cash flow was about -$6.7B, driven by receivables and inventory build. |
| Balance sheet | 3/10 | Net debt was $7.8B at March 31, before the June equity and mandatory convertible preferred financing. |
| Valuation | 6/10 | Valuation looks low at roughly 0.5x NTM enterprise value to sales and 9.7x FY2027E earnings, but the share count is changing. |
| Competitive position | 6/10 | Fast time-to-market, rack-scale integration, and liquid cooling matter, but Dell, HPE, contract manufacturers, and customers themselves can pressure price. |
| Market timing | 5/10 | The market wants AI infrastructure exposure, but the June financing made dilution and working-capital risk the center of the setup. |
Market Fit
Why Now
SMCI sits directly in the AI factory build-out: rack-scale servers, liquid cooling, power and cooling subsystems, networking, management software, and deployment services. Management said AI GPU platforms were more than 80% of Q3 FY2026 revenue and that demand remained strong despite customer site-readiness delays. S4
The June financing also supports the market-fit case: the company said it had roughly $39 billion of recent advanced AI server orders from more than 20 customers. That is demand evidence, not a guaranteed backlog, because the same release says those orders are not firm commitments and remain subject to cancellation or delay. S6
Why The Market Is Skeptical
Q3 operating cash flow was deeply negative, inventory and receivables ballooned, net debt rose sharply, and management then priced a large equity and equity-linked financing package. The market is discounting the risk that high growth belongs more to suppliers and customers than to SMCI shareholders.
The current market fit is therefore mixed: AI exposure is excellent, but the financing structure turns growth into a dilution and cash-conversion question.
What The Company Does
Supermicro designs, builds, and sells application-optimized information technology infrastructure: servers, AI systems, storage, Internet of Things and edge systems, switches, software, and support services. It uses a modular Server Building Block approach that lets customers configure systems around processors, memory, graphics processors, storage, networking, power, and cooling. S3 S8
The business model is fast-cycle hardware integration. That can create a time-to-market advantage during major platform transitions, but it also creates margin pressure, customer concentration, and large working-capital swings when customers need high-value graphics processors, memory, and racks before final deployment.
Long-Term Growth Expectations And Products
Expected Growth
Consensus expects revenue to rise from about $39.7 billion in FY2026 to $61.1 billion in FY2028, while earnings per share rise from about $2.60 to $3.71. That is a strong growth profile, but it assumes the June capital raise and working-capital cycle can support much larger volumes without permanent margin compression. S1
Management's FY2026 revenue guide was $38.9 billion to $40.4 billion, which lines up with the FY2026 consensus midpoint. S3
Growth Products
The highest-conviction product drivers are rack-scale AI systems, liquid-cooled data-center deployments, and Data Center Building Block Solutions that include cooling distribution units, power shelves, battery backup, networking, software, and services. Management also highlighted current NVIDIA GB300, B300, and B200 platforms, AMD MI350 momentum, future Vera Rubin and AMD MI400 systems, and SuperCloud Composer software. S4

Competitive Comparison
Peer selection is intentionally mixed. Dell and HPE are the direct server and infrastructure reference points. Vertiv and Arista are less direct, but useful for data-center infrastructure and AI networking quality comparisons. Celestica is a manufacturing and hyperscale supply-chain read-through. NVIDIA is a supplier, not a clean peer.
| Company | Product position | Past growth / quality | Expected growth | Valuation | Read-through |
|---|---|---|---|---|---|
| SMCI | AI servers, rack-scale systems, liquid cooling, DCBBS, storage, switches, software, and deployment services. | TTM revenue $33.7B; 3-year revenue CAGR +72.4%; gross margin +8.4%. | Forward two-year revenue growth +53.4%; EPS growth +24.6%. | 0.5x NTM EV/sales; 9.8x NTM P/E. | Purest rack-scale AI server growth torque, but most exposed to working-capital shocks and dilution. |
| Dell | Enterprise and hyperscale servers, storage, networking, services, and client PCs. | Revenue $134.0B; 3-year revenue CAGR +11.3%; gross margin +19.2%. | Forward two-year revenue growth +28.8%; EPS growth +20.1%. | 1.5x NTM EV/sales; 15.9x NTM P/E. | More diversified and better financed, but less pure and can pressure SMCI pricing in large deployments. |
| HPE | Enterprise server, storage, cloud, and networking platform with GreenLake and Juniper integration. | Revenue $38.8B; 3-year revenue CAGR +9.4%; gross margin +33.8%. | Forward two-year revenue growth +20.6%; EPS growth +0.6%. | 1.8x NTM EV/sales; 11.8x NTM P/E. | Useful enterprise server and networking comp; slower but has stronger service and installed-base economics. |
| Vertiv | Power, thermal, and data-center infrastructure equipment. | Revenue $10.8B; 3-year revenue CAGR +21.4%; gross margin +37.2%. | Forward two-year revenue growth +32.0%; EPS growth +54.5%. | 7.7x NTM EV/sales; 42.2x NTM P/E. | Less direct product comp, but relevant if DCBBS becomes more power-and-cooling infrastructure than server assembly. |
| Arista | High-performance cloud and AI networking. | Revenue $9.7B; 3-year revenue CAGR +26.0%; gross margin +63.5%. | Forward two-year revenue growth +26.1%; EPS growth +20.7%. | 15.7x NTM EV/sales; 42.7x NTM P/E. | Shows what the market pays for high-margin AI infrastructure, but it is not a server manufacturing comp. |
| Celestica | Complex electronics manufacturing and hyperscale supply-chain exposure. | Revenue $13.8B; 3-year revenue CAGR +22.4%; gross margin +12.0%. | Forward two-year revenue growth +47.3%; EPS growth +42.1%. | 2.7x NTM EV/sales; 45.5x NTM P/E. | Useful manufacturing read-through; lower product IP but less exposed to branded server pricing debates. |
Valuation And Decision Hinge
The valuation method should start with enterprise value to sales and forward earnings, then stress-test share count and cash conversion. A simple target price would be premature because the capital structure is changing and the June proceeds may be consumed by components rather than permanently reducing debt.
Central decision hinge: SMCI must prove that AI infrastructure demand can become self-funded growth. If gross margins normalize near high single digits and free cash flow remains negative, low headline multiples will not protect shareholders from further dilution.
Pro forma dilution frame: basic shares were about 601.4M before the June common offering. The common offering adds 45.5M shares before over-allotment. Mandatory convertible preferred stock could convert into roughly 113.6M to 156.8M common shares, depending on conversion terms and over-allotment exercise. The ATM program could add roughly 40.5M more shares at the report price if fully sold. This is why market capitalization is not a stable single number.
Market data cross-check: Fiscal.ai showed a mean price target of $37.25 from 16 estimates, with a range of $15.00 to $58.00. This report does not use that as a target price; it is included only as market context.
Risks And Disconfirmers
- Working capital risk: Q3 inventory was $11.1B, receivables were $8.4B, and operating cash flow was -$6.6B. Another growth surge could require more financing.
- Margin risk: Management pointed to better product mix and lower expedite or tariff costs in Q3, but Q4 guidance implied a lower gross margin. A return to low single-digit operating margin would break the growth-investment case.
- Customer concentration: Q3 had two customers above 10% of revenue, including one large data-center customer at 27% and one enterprise customer at 10%, according to management commentary. S4
- Order quality: The $39 billion recent AI order figure is not a firm backlog. It can be delayed, canceled, or constrained by customer readiness and component supply. S6
- Export-control and governance risk: Management said the company was not a defendant or target in the related indictment and that no company employee beyond named individuals was known to be involved, but the board investigation was ongoing. S4
- Supplier dependence: SMCI's AI systems depend on graphics processors, CPUs, memory, storage, and networking components that can be scarce or allocated by suppliers.
Catalysts And Monitoring Items
Positive Catalysts
- Q4 FY2026 revenue lands near or above the $11.75 billion guide midpoint with better-than-guided gross margin.

Source Conflicts, Major Assumptions, And Open Evidence
Source Conflicts
| Issue | Conflict or caveat | Treatment in this report |
|---|---|---|
| Market value | Fiscal.ai profile market cap was about $19.7B, while public quote pages showed about $18.6B at the regular close. | Use the $30.85 quote and 601.4M share count for basic market value; separately show Q3 diluted value. |
| Share count | Q3 diluted shares, basic shares, June common offering shares, mandatory convertible preferred conversion shares, and future ATM shares are different concepts. | Do not treat a single market cap as definitive. Model ownership on a pro forma diluted basis. |
| Orders versus backlog | The June financing release cites about $39B of recent AI orders, while also states they are not firm commitments and can be canceled or delayed. | Use the figure as demand evidence, not as contracted revenue. |
| Margins | Q3 gross margin recovered to about 10%, but Q4 guidance implied roughly 8.3% gross margin at the midpoint. | Underwriting should focus on normalized margin, not one quarter. |
Major Assumptions
| Assumption | Treatment |
|---|---|
| Currency | All figures are in United States dollars. SMCI reports in USD, so no exchange-rate conversion was required. |
| Market price | Valuation math uses the $30.85 regular-session close from public quote pages. Intraday or pre-market prices were not used. |
| Enterprise value | Base enterprise value uses Q3 net debt and does not give permanent credit for June financing proceeds because management intends to use proceeds for components and working capital. |
| Earnings series | Quarterly earnings chart uses non-GAAP diluted earnings per share to match company guidance and Fiscal.ai consensus estimate basis. |
| Preferred conversion | Pro forma share-count framing uses the stated mandatory preferred conversion ranges and a simple ATM share estimate at the market price; actual settlement may differ. |
Open Evidence Requests
| Open evidence request | Why it matters |
|---|---|
| Model work | Build a quarter-by-quarter working-capital model tying inventory, receivables, payables, customer concentration, and financing needs to revenue growth. |
| Dilution | Rebuild share count after the common offering, over-allotment exercise status, mandatory preferred conversion math, and ATM issuance timing. |
| Customer diligence | Identify the large data-center customer, the enterprise 10% customer, and how much June-quarter revenue depends on delayed site readiness. |
| Export review | Track the board investigation and any supplier allocation, regulatory, or customer trust impact. |
| Margin proof | Verify whether DCBBS and software/service attach rates can lift normalized gross margin above high single digits without losing large AI deployments. |
Underwriting status: preliminary watchlist underwrite. Evidence confidence: medium-high for reported facts and medium for forward estimates, order conversion, and pro forma dilution.
