Autodesk offers the strongest balance of quality and price.

Bentley is my preferred infrastructure-software franchise for business purity. Autodesk is my first research priority at the valuation anchor used here. Trimble is a credible lower-multiple opportunity, with more operational and accounting complexity. Nemetschek deserves a place alongside them. PTC has become a pending-deal investment.

Decision hinge: can these companies capture the value of AI-driven productivity through pricing, usage and broader workflows, even if customers need fewer software seats? Current growth supports franchise durability. It does not yet settle long-term monetization.

Investment verdict: a sector worth underwriting, with stock-based pay and acquisition effects normalized before judging cheapness. Evidence confidence is high on reported results and deal terms, moderate on consensus, and lower on long-term AI economics. These are research-priority judgments, not a fully modeled ownership recommendation.

FUNDAMENTALS SNAPSHOT

The discount is real, but headline multiples flatter some businesses.

The table uses the same October 2 price anchor and explicit annual consensus denominators. Fiscal-year ends differ: Autodesk ends in January, PTC in September, and the other core peers in December. The first estimate year is the latest unreported fiscal year; the second is the following fiscal year. Adjusted earnings definitions differ across issuers, so cash after stock-based pay is the essential second check.

Autodesk: 16× cash flow becomes 22× after stock pay.

Fiscal 2027 free cash flow guidance midpoint is $2.738bn. Market value at $212 and 209m shares is $44.31bn: a 6.2% cash yield, or 16.2×. Subtracting forecast stock-based compensation of roughly 9% of $8.32bn revenue gives $1.989bn: a 4.5% yield, or 22.3×. This conservative owner-cash proxy is an analytical adjustment, not company guidance; taxes and grant-value timing make it imperfect.

Management targets 41% adjusted operating margin in FY29. MaintainX dilutes near-term margins and adds a full year of financing costs in FY28. The upside therefore needs operating delivery as well as durable demand.

Trimble: lower valuation with a legitimate complexity discount.

The $3.65 adjusted earnings guide midpoint gives 15.8×. The latest call indicates free cash flow around 0.9× adjusted net income: $3.65 × 234m diluted shares × 0.9 ≈ $769m, a 5.7% equity cash yield before stock-based pay. Roughly $1.245bn net debt and 1.1× as-adjusted debt leverage leave financial flexibility.

Bentley has about $10.0bn equity value against $500–570m guided cash flow: 18.7× at the midpoint. Deducting guided operating stock pay of 4.5% of roughly $1.7bn revenue produces about 21.8×. The apparent cash-flow gap versus Autodesk narrows substantially after stock pay.

Price returns exclude dividends. Peak is the highest daily closing price in the retrieved October 1, 2025–October 2, 2026 window, not an all-time or intraday high. Today's thin or incomplete US observations were excluded. Falling prices demonstrate weakness; they do not alone prove a particular cause.

Two valuation traps. Autodesk's July 31 balance sheet predates the August 3 MaintainX closing; its $652m provider net-cash snapshot is not today's balance sheet. Approximately $3.6bn of acquisition cash consideration moves the simple bridge toward roughly $3bn net debt before intervening cash generation and other flows. Treat that as an illustrative bridge, not a confirmed quarter-end balance. PTC's trailing earnings include a sale gain and its historical revenue includes divested businesses; use ongoing-business cash generation and dated forward estimates.
BUSINESS MODEL & COMPETITIVE COMPARISON

They solve related problems at different points in the workflow.

Autodesk: the design standard expanding into execution.

AutoCAD and Civil 3D create technical drawings and civil designs; Revit models buildings and their systems; Fusion combines product design and manufacturing; Forma supports construction workflows. MaintainX manages maintenance activity after an asset is built. Customers pay subscriptions for tools that professional teams learn, exchange files in, and incorporate into delivery processes.

The moat is accumulated project context, training, file compatibility, integrations and collaboration habits. It is stronger in production workflows than in simple image generation. It still faces price resistance, open standards and competition for each new project.

Q2 FY27 revenue was $2.046bn, up 16%; GAAP/adjusted operating margins were 29%/41%. The call attributes about two growth points to the transaction model; constant-currency underlying growth was about 12%. Construction growth above 20% is management commentary, not a disclosed standalone segment result. Revenue mix was about 50% architecture/construction/operations, 24% AutoCAD, 19% manufacturing and 5% media/entertainment, with the remainder other.

Trimble: connecting an engineering plan to physical work.

SketchUp helps model projects; Tekla supports structural modeling and fabrication; Viewpoint and Trimble Construction One connect construction administration and execution; Transporeon connects transport participants. Positioning, surveying and machine-control hardware move the digital plan onto a job site.

The hardware, field knowledge and distribution relationships are valuable, but make Trimble less comparable to pure software. Equipment purchases can be deferred, inventories matter, and adoption requires integration across fragmented contractors.

Q2 revenue was $972m, up 11% reported and 10% organically. Recurring-revenue run rate reached $2.509bn. Revenue mix was about 40% construction-related software, 45% Field Systems and 15% transportation. Field Systems includes hardware and recurring offerings. These segments have distinct economics; assigning the whole company Bentley's multiple would be aggressive.

Core peers: ADSK, BSY, NEM, DSY and pre-deal PTC. Trimble is core to the workflow comparison but a mixed-business valuation peer. Procore and Octave are secondary peers. Siemens, Schneider, Hexagon and the chip-design companies are competitive context; their consolidated multiples are not suitable medians for the core software set.

Scores are analyst judgments on a 1–5 scale, where 5 is most favorable. They weight workflow durability, current growth, cash quality, capital allocation and valuation. They are not measured market-share rankings. Business quality and investment attractiveness are deliberately assessed separately.

WHAT JUSTIFIES THE DEPRESSED VALUATION?

A lower terminal-value assumption matters more than one weak quarter.

AI changes the unit of monetization.

My assessment: replacement of an entire engineering platform is harder than replacement of its interface. The nearer risk is that five people do work previously requiring ten paid seats. A provider can retain the customer and still lose revenue. Usage pricing, paid automation and expanded workflows could offset this. The sign of the revenue effect remains unproven.

These are industrial budgets, with software economics.

New building projects, equipment spending, transport volumes and automotive engineering budgets can slow. Renewals protect the installed base; expansion and new customers are more cyclical. Dassault's weak life-sciences performance and European automotive exposure illustrate why the sector does not deserve one uniform growth multiple.

Accounting makes cheapness look cleaner than it is.

Stock-based compensation is a recurring economic cost. Autodesk's adjusted earnings exclude it; so do most competitors' headline earnings. PTC has upfront license-recognition volatility and divestiture effects. Trimble's $562m noncash transportation goodwill write-down distorts GAAP earnings. A write-down does not consume current cash, but it is evidence of capital-allocation risk.

Transitions and acquisitions weaken near-term visibility.

Autodesk is changing sales coverage, billing and revenue presentation while absorbing MaintainX. Reported growth includes a transaction-model tailwind. Trimble has sold and reorganized operations, and unresolved financial-control weaknesses remained at Q2. Nemetschek's HCSS acquisition and subscription migration complicate organic growth comparisons.

What seems justified — and what seems excessive

A discount for stock pay, industrial cyclicality and acquisition execution is justified. A lower multiple on Trimble than a pure recurring-software peer is also justified. Treating entrenched engineering platforms as if AI already makes their workflows redundant is premature: Autodesk and Trimble raised outlooks, Bentley retains recurring growth, and Schneider is paying for PTC's engineering-data platform.

The counterargument: present growth can coexist with a weaker long-term business model. Renewal inertia delays disruption. Physical engineering requires precision and accountability, but this does not guarantee incumbent pricing power. Valuation can stay low while investors wait for monetization evidence.

Market fit and long-term growth products

Revit/Forma and Trimble's construction bundles benefit if scarce skilled labor encourages more digital adoption. Fusion, Windchill and industrial simulation benefit if manufacturers connect design, production and service. Bentley's infrastructure asset models and Nemetschek's Bluebeam/HCSS ecosystem benefit from more complex project delivery. These are plausible demand drivers, not guaranteed beneficiaries or a quantified market-size forecast.

For underwriting, low-double-digit durable growth is a plausible working assumption for Autodesk and Bentley; high-single-digit company growth with faster software growth fits Trimble. Dassault needs a recovery from its current slower base. Nemetschek's faster consolidated estimates require acquisition and transition bridges. Extend none of these beyond the explicit consensus window without new evidence.

OCTOBER 5, 2026 · AGREEMENT ANNOUNCED

Why Schneider wants PTC.

It fills the product-design and engineering-data gap in Schneider's industrial software portfolio.

Schneider agreed to pay $205 per share in cash: about $22.6bn equity value and $23.7bn enterprise value. Closing is expected by Q3 2027, subject to shareholder and regulatory approvals. PTC has not been acquired yet. PTC / Schneider transaction announcement, October 5

A strategic extension upstream.

PTC's Creo, Windchill, Arena and Codebeamer link product geometry, parts, engineering changes and requirements. AVEVA supplies operational software. Schneider says PTC connects this engineering information with process and energy data, with Cognite adding capabilities if its pending acquisition closes.

My interpretation: AI is more useful when it knows how a machine was designed, how it is configured and how it is performing. PTC supplies expensive-to-recreate customer relationships and engineering context. Schneider also gains distribution and cross-selling potential; those benefits are execution-dependent.

The buyer's economics are not a trading-comp target.

The announcement quotes 21× 2027 estimated adjusted operating earnings before acquired-intangible amortization, or 13× including full run-rate synergies. Its operating measure retains stock-based compensation. Schneider expects $281m of cost synergies by year three and about $900m of revenue synergies, converted at its October 2 exchange rate. Revenue synergies are not profit.

Funding includes planned new equity and substantial new debt. Even a strong strategic fit can be a poor purchase if savings, cross-selling or integration disappoint. The public-market valuation of a minority stake and a strategic buyer's control value answer different questions.

Why now? My inference is an unusually favorable entry price after software de-rating, a refocused PTC portfolio, and Schneider's desire to close a competitive gap with Siemens and Dassault. The public release establishes strategic rationale; it does not prove how the sellers weighed every alternative or why negotiations reached agreement on this exact date.

At Friday's $144.03 and FY27 adjusted earnings consensus of $8.93, PTC traded near 16.1×; the $205 offer is about 23.0× on that denominator. These are price-to-earnings calculations, distinct from Schneider's 21× enterprise operating-earnings metric. The premium supports strategic franchise value but does not justify adding 42% to Autodesk or Trimble. PTC sold ThingWorx and Kepware earlier this year; attributing the acquisition to buying those businesses back would be incorrect. PTC divestiture completed, March 16

PTC owner-cash cross-check: the $850m FY26 cash-flow guide can be adjusted by adding $50m sale costs, $100m sale taxes and $20m unusual capital spending, then subtracting $70m temporary divestiture-related contribution: roughly $950m. Deducting about $245m stock pay gives a $705m conservative owner-cash proxy. Friday's mechanical $15.95bn equity value is about 22.6× this proxy. Post-announcement PTC is an event-risk position: remaining upside is bounded by the cash offer; completion, timing and downside if the deal fails matter. A reliable executable intraday price was not established here, so no live deal spread or completion probability is stated.
